1. Premise and nature of the project

QuantumFox Pro (hereinafter also "QuantumFox" or "the Project") is an independent research studio and a proprietary trading experimentation environment (prop-trading) based in Italy, currently in its pre-corporate and pre-operational phase. The Project focuses on:

• the study, design and experimentation of multi-agent automated trading systems based on artificial intelligence;
• analysis, backtesting and validation of strategies on historical data and demo/simulated environments;
• potential future proprietary trading operations, never on behalf of third parties.

All content published on this website (hereinafter "the Website") is intended exclusively for informational, research and, where applicable, educational purposes. Such content does not constitute in any way:

• investment advice within the meaning of Italian Legislative Decree No. 58/1998 (the Consolidated Law on Finance, hereinafter "TUF") and MiFID II regulations;
• a solicitation for public savings;
• a public offer of financial products or services;
• a personalised or general recommendation to buy, sell or hold financial instruments;
• an invitation, inducement or encouragement to buy or sell financial instruments of any kind.

2. No financial advice and no solicitation of public savings

2.1 Nature of the studio

QuantumFox Pro is not and does not operate as:

• a bank or credit institution;
• an investment firm (SIM under Italian law);
• an asset management company (SGR under Italian law);
• a regulated financial intermediary under Title V of the Italian Banking Act (Legislative Decree No. 385/1993);
• a licensed financial adviser registered with OCF (the Italian Financial Advisers' Register);
• a portfolio manager acting on behalf of third parties;
• an entity registered in any register or list maintained by CONSOB, the Bank of Italy or OCF.

2.2 Services not offered

QuantumFox Pro:

• does not offer and does not intend to offer to the public investment services, portfolio management, investment advice, placement, reception and transmission of orders, or any other regulated service under the TUF;
• does not provide personalised recommendations, financial advice or trading signals addressed to clients or potential clients;
• does not collect capital or funds from third parties to invest or manage them;
• does not solicit clients and does not promote financial products or services to the public.

2.3 Distinction between general information and personalised advice

Pursuant to Article 1, paragraph 5-septies, of the TUF and CONSOB's interpretive practice, "investment advice" consists of the provision of personalised recommendations to a client, at the client's request or on the initiative of the service provider, regarding one or more transactions relating to a specific financial instrument, taking into account the client's personal circumstances (financial situation, investment objectives, time horizon, risk appetite).

QuantumFox Pro does not know the financial situation, investment objectives, time horizon, risk appetite or any other personal circumstance of the Website's users. Therefore, no content published on the Website may be considered, directly or indirectly, a personalised recommendation within the meaning of applicable regulations.

Any information present on the Website — including technical descriptions, system architectures, metrics, strategies, historical or simulated results — is of an exclusively general, informational and experimental nature and is not directed at the specific investment needs of any individual.

3. Use of content and full autonomy of decisions

The Website may contain:

• technical descriptions of the infrastructure (GPU computing, low latency, high-performance storage, redundancy and disaster recovery);
• descriptions of multi-agent architectures, trading algorithms and artificial intelligence models;
• examples of backtests, historical metrics, simulated performance or test reports from demo accounts;
• content of a purely informational, experimental, research or educational nature.

Such content has purely illustrative and experimental value and may be inaccurate, incomplete, outdated or related to market conditions that are no longer current. In particular, all data and results presented originate exclusively from demo accounts (simulation) and do not represent actual gains or losses.

Any operational or investment decision that the user may make based on the content of the Website is taken entirely autonomously and under the user's sole responsibility. The user acknowledges and agrees that the content of the Website must not be used as the sole or primary basis for real investment decisions.

4. Risks associated with financial markets and automated systems

4.1 Risk of capital loss

Trading in financial instruments — including, by way of example and not limitation, transactions in currencies (forex), precious metals, stock indices, contracts for difference (CFDs), futures, options, derivatives and any leveraged financial instrument — involves very high risks, up to and including the total loss of or exceeding the capital invested.

The use of financial leverage amplifies both potential gains and potential losses. It is possible to lose an amount greater than the capital initially invested. Trading in financial instruments is not suitable for all investors and requires an adequate understanding of the risks involved.

4.2 Specific risks of algorithmic and automated systems

The use of algorithmic or automated trading systems — including those based on artificial intelligence, machine learning, neural networks and multi-agent architectures — does not eliminate or reduce the risks associated with trading in financial markets and may in fact amplify them. Specific risks include, without limitation:

• model errors: predictive models may be based on incorrect assumptions, incomplete data or historical patterns that do not recur in the future;
• execution errors: delays, slippage, order rejections, liquidity or connectivity problems may compromise order execution;
• infrastructure errors: hardware failures, network interruptions, software malfunctions, code bugs or incompatibilities with broker systems may cause unforeseen losses;
• abnormal market conditions: unforeseen events (flash crashes, market gaps, systemic crises, central bank interventions) may generate rapid and significant losses that automated systems are unable to prevent or mitigate;
• overfitting: a system that performs well on historical data may not achieve similar results under real and future market conditions.

QuantumFox Pro does not guarantee the accuracy, completeness, reliability, timeliness or continuous updating of the information, data and content published on the Website.

To the maximum extent permitted by applicable law, QuantumFox Pro, its founders, collaborators and any person connected thereto disclaim all liability for direct, indirect, incidental, consequential, special or punitive damages — including, by way of example and not limitation, financial losses, loss of profits, loss of data, business interruption, reputational damage — arising from or in connection with:

• the use of or inability to use the Website or its content;
• reliance placed on the information published on the Website;
• investment or operational decisions made based on the content of the Website;
• technical malfunctions, service interruptions, errors in data or content;
• unauthorised access to the Website or the transmission of viruses or malicious code;
• any other circumstance connected with the use of the Website.

The Website may be suspended, modified, updated or discontinued at any time and without prior notice. QuantumFox Pro assumes no obligation to update content and does not guarantee the continuous availability of the Website.

6. No contractual, mandate or management relationship with the user

The mere viewing of the Website does not constitute the conclusion of any advisory agreement, management mandate, intermediation relationship or any other regulated relationship between QuantumFox Pro and the user.

Any informal contacts — via email, contact forms on the Website, direct messages or any other communication channel — do not give rise to the establishment of financial advisory relationships, portfolio management, investment mandates or any other regulated professional relationship.

The Website is intended solely for the presentation of the Project to potential investors interested in participating in the development and growth of QuantumFox Pro in its pre-corporate phase. Any investment relationship will be governed by separate contractual documentation, drafted in compliance with applicable regulations.

7. Third-party content and data, external links and market data

The Website may contain links to external websites, references to market data providers, financial news feeds, economic calendars or other content produced by third parties. Such references are included solely for informational purposes.

QuantumFox Pro has no control over the content, accuracy, availability or privacy policies of third-party websites and assumes no responsibility for them. The inclusion of an external link does not imply endorsement, recommendation or affiliation with the linked website or entity.

The reliability, accuracy and completeness of data and information from third-party providers (including, by way of example, price data, volumes, spreads, market news and macroeconomic indicators) are not guaranteed by QuantumFox Pro. The user is responsible for independently verifying any data or information before making decisions.

8. Intellectual property

All content on the Website — including, by way of example, texts, graphics, logos, images, source code, software architectures, algorithms, models and technical documentation — is the property of QuantumFox Pro or the respective rights holders and is protected by Italian, European and international laws on copyright, trademarks and intellectual property.

The reproduction, distribution, modification, transmission, reuse, publication or any other use of the Website's content without the prior written authorisation of QuantumFox Pro is prohibited, except where expressly permitted by law.

9. Territorial scope, language and applicable law

The Website is operated by a subject based in Italy. Content is provided in Italian and English. In the event of any discrepancy between the language versions, the Italian version shall prevail.

The content of the Website is not intended for persons resident or domiciled in countries or jurisdictions where the dissemination of such content or access to the Website would be contrary to law, regulations or local rules. The user is responsible for complying with any law or regulation applicable in their jurisdiction.

This disclaimer, access to the Website and the use of its content are governed by the law of the Italian Republic and, where applicable, European Union law.

For any dispute arising from the interpretation, validity or enforcement of this disclaimer or the use of the Website, the court of the studio's registered seat shall have exclusive jurisdiction, unless otherwise mandated by mandatory provisions of law.

If one or more provisions of this disclaimer are deemed null, invalid or unenforceable by a competent authority, the validity and effectiveness of the remaining provisions shall not be affected (severability clause).
